1. About us and these terms

KnowItAll Ninja (www.knowitallninja.com) is operated by KnowItAll Ninja Limited, a company registered in England and Wales under company number 14339425, with its registered office at 14 Swords Drive, Crowthorne, England, RG45 6GS. These terms apply to your use of the site and to everything bought on it: school memberships, individual subscriptions and downloadable teaching resources. By creating an account or making a purchase you agree to these terms. Our Privacy Policy explains how we handle personal information and forms part of the agreement between us.

If you are buying for a school, college or other organisation, you confirm that you have authority to do so, and “you” in these terms includes that organisation.

2. The words we use

  • Membership: a school subscription giving a set number of students access to one or more of our courses for a fixed term.
  • Seats: the number of students a membership covers. A student in several classes on the same membership occupies one seat. Teacher accounts do not use seats.
  • Classes: groups of students that teachers create and manage within a membership.
  • Individual subscription: a personal subscription bought by a parent, guardian or adult learner for a single student.
  • Resources access: the optional addon giving a membership’s teachers access to our downloadable teaching resources library.
  • Content: everything on the site – lessons, quizzes, activities, videos, downloadable resources and the software that delivers them.

3. Accounts

You must give accurate information when registering and keep it up to date. Keep your password confidential and tell us at [email protected] if you believe your account has been accessed without permission. You are responsible for activity on your account.

Teachers on a school membership can create classes and add students, including creating student accounts. The school is responsible for ensuring it has the appropriate authority to create accounts for its students, and for how its teachers and students use the site. Accounts for children must only be created by a school or by a parent or guardian.

Accounts are for the registered person only and must not be shared. A membership is for a single school and must not be used to register students of other schools.

4. School memberships

What you get. A membership gives your chosen number of seats access to the course or courses covered by the membership product you buy (the All Inclusive membership covers all our courses) for the term stated at purchase. Every teacher your school adds gets free access to teaching features such as class management, task setting and progress tracking.

Seats. Prices are per seat. Bulk discount levels are shown on each product page and are applied automatically; when several memberships are bought in the same order, the students across the order count together towards the discount level. Seats can be added to a live membership at any time and are priced pro rata for the remainder of its term. A minimum of 10 students applies to new memberships.

Term and expiry. Your membership runs for the term you purchase. When it expires, student and teacher access to the covered courses ends. Your account, classes and student records remain available for a grace period of three months after expiry, after which classes and their rosters are removed. Records of your membership and purchases are kept.

Renewals. Renewing before expiry extends your membership from its current end date, so renewing early never costs you time. Renewing after expiry starts the new term from the date of renewal. At renewal you may reduce your seats to no fewer than the number of students currently on the membership. We do not renew memberships or take payment automatically; renewal happens only when you place a renewal order.

5. Free trials

Free trial memberships are for evaluation by one school, are limited in scope and duration as described at sign-up, and may not be repeated or combined. We may withdraw or amend the trial offer at any time; this does not affect trials already running.

6. Individual subscriptions

Individual subscriptions are personal consumer purchases, renew automatically at the interval shown at purchase, and can be cancelled at any time from your account; cancellation stops future payments and your access continues to the end of the period already paid for.

As a consumer you normally have the right to cancel an online purchase within 14 days. Because a subscription gives immediate access to digital content, you consent at checkout to the content being supplied straight away. If you cancel within 14 days of first purchase, we will refund your first payment in full provided the account has not made substantial use of the courses. Nothing in these terms affects your statutory rights.

7. Downloadable resources access

Resources access is an optional addon to a school membership. It gives every teacher on that membership access to our downloadable teaching resources library for the same period as the membership, and it is renewed alongside the membership. Use of downloaded resources is governed by the Downloadable Resources Licence, which forms part of these terms: in short, resources are for use within your school while your access is live, and must not be shared outside it. Some resources may also be bought individually through the resource shop on the same licence terms.

8. Prices and payment

Prices for school products are shown exclusive of VAT, which is added at checkout at the prevailing rate. Prices for individual subscriptions are shown inclusive of VAT. We accept payment by the methods shown at checkout, and schools may request to pay by invoice against a purchase order; access under an invoiced order may be granted before payment but remains conditional on payment within the invoice terms.

We may change prices and discount structures at any time. Changes never affect a term you have already paid for, and the price shown in your basket at checkout is the price you pay.

9. Refunds and cancellations

For school purchases: if something is wrong with what you have bought, or your circumstances change shortly after purchase, contact us at [email protected] and we will try to put it right; where a membership has seen no meaningful use we will normally refund in full within 14 days of purchase. Refunding a resources access purchase ends that access.

For individual subscriptions, see section 6. For all buyers, nothing in this section limits rights you have in law.

10. Using the site and our content

We grant you a non-exclusive, non-transferable licence to use the site and its content for education within your school (for memberships) or for personal study (for individual subscriptions) while your membership or subscription is live. Displaying lesson content in your classroom to your students is fine and intended.

You must not: copy, record, download (except downloadable resources under their licence), scrape, republish or redistribute content; share logins; resell or sub-license access; use the site to store or transmit anything unlawful or harmful; or interfere with the operation or security of the site. We may suspend or close accounts that break these rules, and serious or repeated breaches may lead to termination of a membership without refund.

11. Intellectual property

All content and the site itself are owned by us or our licensors and protected by copyright and other intellectual property laws. Nothing in these terms transfers any ownership to you. Exam board names and qualification titles are the trade marks of their respective owners; KnowItAll Ninja is an independent resource and is not endorsed by or affiliated with any examination board.

12. The service

We work to keep the site available at all times but do not promise uninterrupted access; occasional maintenance, updates and faults are unavoidable. We update course content on an ongoing basis, including to follow changes to qualification specifications, and content included in a membership may be revised, added or replaced during your term.

Our courses support students’ learning. Exam results depend on many things outside our control, and we do not guarantee any particular academic outcome.

13. Ending the agreement

You can close your account at any time. We may suspend or terminate access immediately for serious breach of these terms, and otherwise on notice to the email address on the account. On termination for your breach no refund is due; on termination by us for any other reason we will refund the unused part of any paid term pro rata.

14. Our responsibility to you

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot be excluded by law.

If you use the site as a consumer, we are responsible for foreseeable loss or damage caused by our breach of these terms or our failure to use reasonable care and skill, and we are not responsible for loss that was not foreseeable, or for business losses.

If you use the site as a business (including a school), our total liability arising out of or in connection with these terms in any 12-month period is limited to the amount you paid us in that period, and we are not liable for indirect or consequential loss, loss of profit, or loss of data (beyond our obligation to handle personal data lawfully).

15. Changes to these terms

We may update these terms from time to time. The current version is always at this page with its date at the top. For a change that materially affects a live membership or subscription we will give notice by email; if you do not accept such a change you may end the agreement and we will refund the unused part of your term pro rata.

16. General

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except that consumers living elsewhere in the UK are entitled to the protections and courts of their home nation. If any part of these terms is found unenforceable, the rest continues in force. A failure to enforce a right is not a waiver of it. Nobody other than you and us has rights under these terms.
